These Terms and Conditions (the “Terms”) govern your access to and use of veryrite.com (the “Site”), including our articles, newsletter, comment sections and the VeryRite online shop (the “Shop”). In these Terms, “VeryRite”, “we”, “us” and “our” refer to the operator of the Site, and “you” and “your” refer to you as a visitor, reader, commenter or customer.

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by them. If you do not agree, please do not use the Site. If you are placing an order in the Shop, you will be asked to confirm that you accept these Terms before your order is submitted.

These Terms should be read together with our Privacy Policy, Cookie Policy, Disclaimer, Shipping & Returns policy and DMCA & Copyright Policy, each of which forms part of these Terms.

1. Consumer Rights Come First

Nothing in these Terms is intended to exclude, limit or waive any right you have under the Ontario Consumer Protection Act, 2002, any successor legislation, or any other consumer protection law that applies to you and cannot be excluded by agreement. If any provision of these Terms conflicts with such a law, the law prevails and the provision will apply only to the extent permitted.

2. Eligibility

You must be at least the age of majority in your province, territory or state of residence to place an order in the Shop or create a customer account. Younger readers may browse the Site with the involvement of a parent or guardian, who is responsible for their use of the Site. You may not use the Site if you are prohibited from doing so under applicable law.

3. Using the Site

We grant you a limited, personal, non-exclusive, non-transferable and revocable permission to access the Site and read, view and share our content for your own non-commercial use, subject to these Terms. When using the Site, you agree not to:

• use the Site in any way that breaks any applicable law or regulation, or infringes the rights of anyone else;
• copy, reproduce, republish, scrape, data-mine or systematically download our content, including for the purpose of building databases or training artificial intelligence or machine learning models, except as expressly permitted by these Terms or by law;
• attempt to gain unauthorized access to the Site, our servers, customer accounts or any related systems, or interfere with the Site’s security features, including our firewall and anti-spam protections;
• introduce viruses, malware or other harmful code, or carry out denial-of-service or similar attacks;
• use automated tools to submit forms, comments or orders, or to place unreasonable load on our infrastructure;
• impersonate any person or misrepresent your affiliation with any person or organization; or
• use the Site to send unsolicited commercial messages or collect other users’ personal information.

We may suspend or restrict access to the Site, or to any feature of it, to protect the Site, our readers or customers, or to comply with the law.

4. Intellectual Property

The Site and its content, including articles, headlines, photographs, illustrations, graphics, videos, logos, the VeryRite name and brand, product designs, page layouts and software, are owned by VeryRite or our licensors and are protected by Canadian and international copyright, trademark and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

You may:

• share links to our articles on social media, in emails or on other websites;
• quote short excerpts of our articles for the purposes of research, private study, education, criticism, review, news reporting, parody or satire, as permitted by the fair dealing provisions of the Copyright Act (Canada), provided you credit VeryRite and link to the original article where practical; and
• print or save a copy of an article for your own personal, non-commercial reference.

You may not republish full articles or substantial portions of them, remove copyright or attribution notices, use the VeryRite name or logo in a way that suggests endorsement or affiliation, or reproduce our product designs, without our prior written permission. Requests for republication or licensing may be sent to [email protected].

If you believe content on the Site infringes your copyright, please follow the process set out in our DMCA & Copyright Policy.

5. Comments and User Content

Some parts of the Site allow you to post comments or submit other content (“User Content”). You are solely responsible for your User Content. By posting it, you confirm that you have the right to do so and that it complies with these Terms.

You must not post User Content that:

• is defamatory, harassing, threatening, hateful, discriminatory or abusive;
• is obscene, sexually explicit or otherwise inappropriate for a general audience;
• infringes copyright, trademark, privacy or any other right of another person;
• contains another person’s personal information without their consent;
• is spam, includes promotional or affiliate links, or is posted primarily to improve search rankings;
• is knowingly false or misleading, or impersonates another person; or
• encourages illegal activity or contains malicious code.

You keep ownership of your User Content. By posting it, you grant VeryRite a non-exclusive, worldwide, royalty-free, perpetual licence to host, display, reproduce, edit for length or clarity, and distribute it on the Site and in connection with our journalism, such as quoting a reader comment in a follow-up article. You waive any moral rights in your User Content to the extent necessary for us to exercise this licence.

We are not obliged to monitor User Content but may review, moderate, edit, refuse or remove any comment, at our discretion and without notice, including to comply with the law. Comments may be held for moderation, and comments containing links may be filtered automatically. Views expressed in User Content are those of their authors and not of VeryRite.

6. Newsletter

If you subscribe to our newsletter, you agree to receive emails from us as described when you sign up. You can unsubscribe at any time using the link in every email. Our handling of your email address is explained in our Privacy Policy.

7. The VeryRite Shop

7.1 Products and descriptions

The Shop offers VeryRite-branded merchandise such as notebooks, pens, mugs, tote bags and similar items. We try to describe and photograph every product accurately. However, colours may appear differently depending on your screen, and minor variations in printing, embroidery, materials and dimensions can occur, particularly for items produced in small batches. Product images are for illustration and may not reflect every detail of the item you receive. If a product you receive is materially different from its description, you may return it as described in our Shipping & Returns policy.

7.2 Pricing and currency

All prices in the Shop are listed in Canadian dollars (CAD). If you pay with a card issued in another currency, your card issuer will convert the amount and may charge conversion or foreign transaction fees, which are outside our control.

Before you place your order, the checkout page will clearly show the price of each item, applicable shipping charges, applicable taxes and the total amount you will pay. We do not add mandatory fees that are not shown to you before you confirm your order.

We may change prices at any time, but changes will not affect orders that have already been confirmed. If a product is listed at an obviously incorrect price because of a typographical or technical error, we will contact you before shipping and give you the choice to proceed at the correct price or cancel your order for a full refund.

7.3 Taxes

For orders shipped to an address in Canada, we charge the Goods and Services Tax (GST) or Harmonized Sales Tax (HST) at the rate that applies to the province or territory of the delivery address, as required by the Excise Tax Act. Provincial sales tax may also be charged where we are required to collect it. Applicable taxes are shown separately at checkout.

Orders shipped to the United States are exported from Canada and generally are not subject to Canadian GST/HST. However, United States import duties, tariffs, taxes or customs brokerage fees may apply to your shipment. Unless the checkout page states otherwise, these charges are not included in our prices or shipping fees and are the responsibility of the recipient. They may be collected by the carrier before or upon delivery. Duty-free treatment for low-value shipments into the United States is no longer generally available, so please consider these possible charges before ordering.

7.4 Placing an order and contract formation

When you place an order, you are making an offer to buy the products in your cart on these Terms. Before you submit your order, you will have the opportunity to review it, correct any errors and confirm or cancel it. After you submit your order, we will send an order confirmation email that includes the details of your purchase. A contract between you and VeryRite is formed when we send that confirmation.

Please keep a copy of your order confirmation email; it serves as your copy of the agreement. If you need another copy, contact us at [email protected].

We may refuse or cancel an order before shipment if a product is unavailable, if there is a pricing or description error, if we suspect fraud or unauthorized use of a payment method, or if we cannot ship to the address provided. If we cancel an order after payment, we will refund the full amount you paid, using your original payment method.

7.5 Payment

Payment is taken when you place your order, using the payment methods shown at checkout. Payments are processed securely by third-party payment processors. By providing payment details, you confirm that you are authorized to use the payment method.

7.6 Shipping and delivery

We ship within Canada and to the United States. Shipping rates, processing times and estimated delivery times are set out in our Shipping & Returns policy and shown at checkout. Delivery estimates are not guarantees, and delays caused by carriers, customs, weather or other events outside our control may occur. Risk of loss passes to you when the order is delivered to the address you provided.

If your order is not delivered within 30 days after the estimated delivery date, you may cancel it at any time before delivery and receive a full refund. Your rights under applicable consumer protection law regarding late or non-delivery are not affected.

7.7 Returns, refunds and cancellation

You may return eligible items within 30 days of delivery. Damaged, defective or incorrect items will be replaced or refunded. The full process, including conditions and exclusions, is described in our Shipping & Returns policy. If you want to cancel an order before it ships, contact us as soon as possible at [email protected]; if the order has not yet been dispatched, we will cancel it and refund you in full.

Under Ontario law, you may also have additional rights to cancel an internet agreement and receive a refund, for example if required information was not disclosed to you before you entered the agreement. These rights are not limited by these Terms. If you paid by credit card and we do not provide a refund to which you are entitled, you may also have the right to request a credit card charge reversal from your card issuer.

7.8 Customer accounts

If you create a Shop account, you are responsible for keeping your login credentials confidential and for all activity under your account. Please tell us immediately if you believe your account has been accessed without your permission. You may close your account at any time by contacting us.

8. Advertising, Sponsored Content and Affiliate Links

The Site contains advertising, clearly labelled sponsored content and affiliate links, as explained in our Disclaimer. Your dealings with advertisers and merchants you reach through the Site, including purchases, are solely between you and that third party.

9. Third-Party Links and Services

The Site may link to or embed websites, tools and content operated by third parties. We provide these links for convenience and do not control or endorse third-party sites. Your use of them is governed by their own terms and privacy policies.

10. Disclaimers

Our editorial content is provided for general information and is not professional, financial, legal, tax, investment or security advice, as explained in our Disclaimer. While we work hard to keep the Site accurate and available, we do not promise that it will be uninterrupted, error-free or free of harmful components.

Except as expressly stated in these Terms or as required by law, the Site and its content are provided on an “as is” and “as available” basis. Products sold in the Shop come with any warranties and conditions that cannot be excluded under applicable consumer protection law, including that goods will be of reasonably acceptable quality and fit for their ordinary purpose.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• VeryRite will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or business opportunity, arising out of or in connection with your use of the Site or reliance on its content, even if we have been advised of the possibility of such damages; and
• our total liability to you for any claim relating to a Shop order will not exceed the amount you paid for that order, and our total liability for any other claim relating to the Site will not exceed CA$100.

These limitations do not apply to liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, for fraud, or for breach of rights you have under consumer protection legislation.

12. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless VeryRite and its contributors from any claims, losses, liabilities and reasonable legal costs arising from your User Content, your breach of these Terms or your violation of any law or the rights of a third party. This section does not apply to you in your capacity as a consumer to the extent it is prohibited by applicable consumer protection law.

13. Governing Law and Disputes

These Terms, and any dispute arising out of or relating to them or to your use of the Site or the Shop, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to any non-waivable right you have to bring proceedings in the courts of your place of residence, you agree to submit to the jurisdiction of the courts of the Province of Ontario. If you have a concern, please contact us first at [email protected]; most issues can be resolved quickly and informally. Nothing in these Terms prevents you from bringing a claim in small claims court, joining a class proceeding or filing a complaint with a consumer protection authority where the law gives you that right.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Changes will not apply retroactively to orders already confirmed. Your continued use of the Site after changes are posted means you accept the updated Terms; Shop customers will be asked to accept the Terms in force at the time of each order.

15. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a reorganization, merger or sale of our business, provided your rights are not reduced. These Terms, together with the policies referred to in them, are the entire agreement between you and VeryRite regarding the Site. Any rights or obligations that by their nature should survive termination will survive.
